Welcome to SuperFolders. By downloading, installing, or using our software, you agree to these Terms of Use.

1. Acceptance of Terms

If you do not agree to these Terms, do not use the Software.

2. License and Use

The Software is licensed, not sold. Subject to these Terms and the End User License Agreement ("EULA"), we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use SuperFolders on your Mac.

2.1 Personal, Non-commercial Use

• Free for personal, non-commercial use
• No license key required

Personal, non-commercial use does not require payment.

2.2 Commercial Use

Commercial use requires a paid commercial license purchased on a per-seat basis.

One seat grants usage rights to one individual user. Each individual using the Software for commercial purposes requires a separate seat.

2.3 Lifetime License

The lifetime license is a per-seat, non-transferable license (not sold, but licensed) for a single individual user.

The purchase grants access to the Software as it exists at the time of purchase.

The lifetime license does not include future major versions unless explicitly stated.

3. Payments, Taxes, and Proof of License

Commercial licenses are sold per seat and are granted either as a subscription with a fixed term or as a one-time lifetime license, as explicitly stated at the time of purchase.

Prices are exclusive of VAT unless stated otherwise. VAT is calculated and added at checkout where applicable.

Proof of purchase, including a receipt or invoice issued by SuperFolders or its authorized payment provider, constitutes proof of a valid license.

The license holder is responsible for ensuring that the number of individuals using the Software does not exceed the number of purchased seats. We do not actively monitor seat usage.

Pricing may change for future purchases and does not affect existing licenses.

4. Privacy and Data Processing

SuperFolders is designed with privacy as a core principle:

• Local Processing: All document indexing, search, and AI analysis occur entirely on your Mac. Your files never leave your device.
• Anonymous Signals: We may use anonymized search query tensors that cannot be read by humans, as well as limited technical information such as error reports, to help improve the Software.
• No Document Collection: We do not collect, store, or transmit your documents to our servers.

5. Cookies and Analytics

We use basic cookies and similar technologies to operate the site and understand usage.

• sf_anon: A random identifier (for example, 274af06b-0c2c-4c09-bb85-953b9e330f0b) used to recognize actions across the site without identifying you personally.
• Google Analytics: We use Google Analytics to measure site traffic and usage.

By continuing to use the site, you consent to these cookies. You can block cookies in your browser, but some features may not work as expected.

6. Acceptable Use

You agree to use SuperFolders only for lawful purposes. You must not:

• Use the Software to process illegal content
• Attempt to reverse engineer, decompile, or disassemble the Software except where permitted by law
• Remove or modify any proprietary notices or labels
• Use the Software in any way that could damage, disable, or impair our services
• Attempt to gain unauthorized access to any systems or networks
• Redistribute, sell, rent, or lease the Software without permission

7. Intellectual Property

SuperFolders and all related materials, including but not limited to software code, design, graphics, and documentation, are owned by us and protected by copyright, trademark, and other intellectual property laws.

8. Updates, Improvements, and Availability

Bug fixes, improvements, updates, or new versions may be provided at the sole discretion of the licensor.

We do not guarantee any future updates, features, roadmap, or ongoing availability.

We reserve the right to discontinue the Software at any time without obligation to provide replacements or refunds, except where required by law.

9. Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of search results

We do not warrant that the Software will be uninterrupted, error-free, or free from viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or use
• Business interruption
• Any damages arising from your use or inability to use the Software

Our total liability shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.

11. User Content and Responsibility

You retain all rights to your documents and data processed by SuperFolders. You are solely responsible for:

• The content you choose to index and search
• Ensuring you have the right to process all documents
• Backing up your data
• Compliance with applicable laws regarding your data

12. System Requirements

SuperFolders requires:

• macOS 14.0 or later
• Mac with Apple Silicon or Intel processor
• Minimum 8GB RAM (16GB+ recommended for AI features)
• Sufficient storage for document indexing

13. Termination

We may terminate or suspend your rights under these Terms only if you materially breach these Terms or the EULA.

• Your license to use the Software ends immediately
• You must delete all copies of the Software
• Your local data and indexes remain on your device and are your responsibility

14. Export Compliance

The Software may be subject to export control laws. You agree to comply with all applicable laws and regulations regarding the export and re-export of the Software.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via:

• Email notification
• In-app notification
• Update to this page with a revised "Last Updated" date

Your continued use of the Software after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Finland, without regard to conflict of law principles.

17. Dispute Resolution

Any disputes arising from these Terms or your use of the Software shall be resolved through:

1. Good faith negotiation
2. Mediation
3. Binding arbitration

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with the EULA and Privacy Policy, constitute the entire agreement between you and us regarding the Software.
