End User License Agreement

1. License Grant

Subject to your compliance with this Agreement, SuperFolders grants you a personal, non-exclusive, non-transferable, revocable limited license to use the Software solely for personal, non-commercial purposes at no cost.

Commercial use of the Software requires a paid commercial license.

Each individual using the Software for commercial purposes requires a separate license seat.

2. Restrictions

You agree not to:

• Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Software.
• Reverse engineer, decompile, or disassemble the Software except where permitted by law.
• Use the Software for commercial purposes without a valid commercial license.
• Remove, alter, or obscure any proprietary notices contained in or on the Software.

3. Commercial License

A commercial license grants the right for one individual user (one seat) to use the Software for commercial purposes.

Commercial licenses are granted for a term of twelve (12) months from the date of purchase, unless otherwise stated at the time of purchase.

Proof of purchase, including a receipt or invoice issued by SuperFolders or its authorized payment provider, constitutes a valid commercial license.

The license holder is responsible for ensuring that the number of individuals using the Software does not exceed the number of purchased license seats.

4. Updates

SuperFolders may provide updates, upgrades, or modifications to the Software.

Updates are available at SuperFolders' discretion and may be limited to the duration of an active commercial license for commercial users.

5. Ownership

The Software is licensed, not sold. All intellectual property rights in the Software and related documentation remain the exclusive property of SuperFolders.

6. Term and Termination

This Agreement is effective until terminated.

Your rights under this Agreement will terminate automatically if you fail to comply with its terms.

Upon termination, you must stop all use of the Software and delete all copies in your possession.

7. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SUPERFOLDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SOFTWARE.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Finland, without regard to conflict of law principles.
